Iowa Arts Council Service Contract


This contract (the "Contract") is between the Iowa Arts Council, State of Iowa, 600 East Locust, Des Moines, Iowa, 50319-0290 (the "IAC"), and Name and Address of the Applicant (the "Applicant"):

1. This Contract becomes effective upon issuance of a grant award letter (the "Grant Award Letter") awarding a grant to the Applicant and upon the IAC's director signing this Contract.

2. Duration. This Contract must be completed on the date(s) specified in the Grant Award Letter.

3. Termination. This Contract is subject to termination by either party within ten (10) days prior written notice.

4. Independent Contractor. The Grant Recipient agrees to perform the services specified in this contract as an independent contractor.

5. Responsibilities of Contractor. The Grant Recipient shall provide the following services:
a. Organize a core group of students described in the Application to participate in an Arts related field trip on the date specified in the Grant Award Letter.
b. The Arts related field trip must occur at the location specified in the Grant Award Letter.
c. The Grant Recipient shall submit with the application, copies of emails or letters written to local legislators informing them of the application for this grant.

6. Payment Fee, Schedule, and Payment.
a. The IAC shall pay the Grant Recipient two hundred dollars ($200.00 within thirty (30) days after the IAC director has signed this Contract.
b. Under no circumstances shall the total amount paid to the Grant Recipient exceed two hundred dollars ($200.00).

7. Fulfillment of Contract. If the Grant Recipient is unable to fulfill this Contract by virtue of any act or regulation of any public authority, or on the account of any rule or order of any military or civil authority, or on account of any war or other national or state-declared emergency, or because of labor strike, riot, epidemic, act of God, or any similar cause beyond his or her control, the Contractor shall be excused from performance of the terms of this Contract to the extent such performance is prevented. In such an event the Contractor shall promptly return to the IAC any unexpended or un-obligated portions of payments specified in Section 7.

8. Indemnification Clause. The Contractor agrees to hold harmless, indemnify and defend the IAC and its officers, directors, panelists, and employees from and against any and all damages, actions, causes of action, losses, injuries, liabilities, royalties, claims or other payments relating in any way to the terms and obligations of this Contract.

9. Assignment. This Contract may not be assigned or transferred by either party to this contract without prior written consent of the other party.

10. Equal Opportunity and Accessibility. The Contractor agrees not to discriminate against any employee, applicant for employment or any person participating in any aspect of the Conference on the basis of race, creed, color, national origin, religion, sex, age, physical or mental disability; and that all parties involved in the Conference shall comply with Title VI of the Civil Rights Act of 1964; Fair Labor Standards under Section 5(j) of the National Foundation on the Arts and Humanities Act of 1965; Section 504 of the Rehabilitation Act of 1973; and the Americans with Disabilities Act of 1990.

11. Integration. This Contract contains the entire contract between the parties and any representation that may have been made before the signing of this contract are non binding, void, and of no effect. Neither party has relied on such prior representations in entering into this Contract.

12. Non-Appropriation. Notwithstanding any other provisions of this contract, if funds anticipated for the continued fulfillment of this Contract are at any time not forthcoming or insufficient, either through the failure of the Federal Government, or of the State of Iowa to appropriate funds or discontinue or material alteration of the program under which funds were provided, then the IAC shall have the right to terminate this contract without penalty by giving not less than thirty (30) days written notice documenting the lack of funding.

This Contract is now being executed by the parties as of the date stated at the beginning of this Contract.
